• All copyrights remain with the contractor; usage rights are transferred after full payment and are purpose-bound.
• Offers are non-binding estimates and may be adjusted in case of significant changes, with the client having the right to withdraw.

1. The contractor is Stubbe + Finke PartG mbB. The contractor takes on the concept, design, and/or implementation of the client's website (contract work). This contract is a work-for-hire agreement. The provisions of contract law and copyright law apply.
2. All work of the contractor is protected as personal intellectual creations under copyright law. The provisions of the copyright law are also considered agreed upon, even if the required level of creativity under § 2 UrhG is not met.
3. Design suggestions or change requests from the client regarding the contract work do not result in joint authorship by the client.
4. The contractor is also responsible for the maintenance and upkeep of the website, unless an additional maintenance contract has been concluded.

1. The provider's offers are based, unless otherwise stated, on the preliminary information available at the time of the offer submission. Since the exact scope of the project and all relevant details have not yet been fully determined, the offer represents a non-binding estimate.
2. Once all details and requirements of the project are finalized, the provider reserves the right to adjust the offer accordingly. The client will be promptly informed of any changes.
3. If there are no significant changes in the project scope or requirements, the price will remain as stated in the offer. A price increase will only occur if there are substantial deviations from the original assumptions that significantly affect the cost basis of the offer.
4. The client has the right to withdraw from the contract if there is a significant change in the offer and the adjustments do not meet their expectations.

1. The copyrights for the contract work as a whole, the individual web pages, and any embedded elements belong to the contractor. The contractor grants the client all usage rights necessary for the website as simple, non-exclusive usage rights without temporal or spatial limitation. The client may only use the contract work for the purpose identifiable in the offer. Any use beyond this is only allowed with the express written consent of the contractor. The contractor may charge a reasonable fee for granting consent, but is not obligated to provide it.
2. The transfer of usage rights takes place only after full payment of the agreed compensation. Until then, the website with the contract work may only be used with the contractor's consent.
3. The client may transfer the acquired usage rights to third parties only with the written consent of the contractor.

1. The client is not authorized to edit, modify, supplement, or expand the contract work independently or through third parties during the contract term. The client may only make changes in collaboration with the contractor or with the contractor's consent. However, the client may change or define the textual and visual content of the web pages via the CMS.
2. Substantial changes to the contract work may only be made by the client with the contractor's consent, even after the contract has ended.

1. The contractor will regularly inform the client about the progress of the contract work. The contractor will also inform the client about developments that, for technical reasons, may require changes to the services. The contractor will inform the client about the potential changes to the timeline regarding the completion of the contract work and the costs arising from these changes. Clause VI No. 2 of these terms and conditions applies accordingly.
2. The contracting parties will immediately inform each other of any circumstances within their areas that may jeopardize the proper fulfillment of the contract.

1. The client must provide the contractor with all necessary information for the development of the contract work in a timely manner and communicate any wishes promptly. This also applies to change requests during the development of the contract work.
2. If additional content is required during the development of the contract work, the client must provide this as soon as possible.

1. The client may express change requests during the development of the contract work. The contractor will accommodate change requests as far as they are deemed feasible and reasonable.
2. The contractor will inform the client of the expected impact of the changes on the timeline for the development of the contract work. Additionally, the contractor will inform the client of the costs resulting from these changes. If the client does not object to the communicated costs and timeline within 10 days, the changes will be considered approved.

Invoices will be issued either:
a. monthly, or
b. upon reaching agreed project milestones.
Customers are responsible for legal and collection costs in the case of overdue invoices. Accounts that remain unpaid after 30 days will be considered in default, and we reserve the right to remove content or access to files on our servers.

Before the project begins, an advance payment of 30% of the estimated total amount is required. This advance payment serves as security and ensures the project can start. We will begin work only once the advance payment has been received. This advance will be credited toward the final project amount. If changes occur during the course of the project that result in additional costs, these will be invoiced separately.

1. The contract work has the quality owed according to the detailed offer.
   Claims for defects expire after 12 months, unless the defect was fraudulently concealed. The limitation period begins with the acceptance.
2. The enforcement of liability claims for defects depends on the client reporting the defects in writing to the contractor within 2 weeks after their first detection.
3. The contractor is not liable in cases where the client has made changes to the services provided by the contractor, unless these changes had no influence on the defect's origin.
4. In creating the contract work, the contractor is obliged to exercise industry-standard care.
5. When determining whether the contractor is at fault, it must be taken into account that websites cannot be created without technical errors.

Both parties agree to treat all confidential information exchanged during the collaboration with strict confidentiality and not to disclose it to third parties without prior written consent from the other party. This includes, but is not limited to, trade secrets, internal strategies, unpublished designs, concepts, and customer data. This obligation remains in effect even after the collaboration has ended.

1. The contract is exclusively governed by the law of the Federal Republic of Germany.
2. There are no verbal side agreements. Changes or additions to the contract must be in writing to be valid, and no waiver of this requirement can be made verbally.
3. If any provisions of the contract are or become invalid, the validity of the remaining provisions will not be affected. Instead of the invalid provision, what the parties would have reasonably agreed upon for the originally intended purpose, from an economic perspective, will apply. The same applies in the case of a contractual gap.
4. The place of performance is Hamburg.

• The client must provide all necessary materials before the project begins. Delays may affect the schedule and lead to project pauses or cancellations.
• Changes beyond the agreed scope will incur additional charges. After design approval, only up to 2 change requests are allowed.
• Websites may display differently in older browsers such as Internet Explorer 8, 9, and 10.
• After completion, the client must approve the project within 7 days. If the website is used functionally for more than 4 weeks, it is considered approved. The outstanding amount is due 8 days after receiving the invoice.
• During development, the work will be reviewed on a staging server. Regular maintenance and updates are required, and a maintenance plan can be offered for an additional fee.
• The contractor may use the project in their portfolio or at exhibitions.
• The contractor must be credited in the source code and on the website. The client may not remove this credit without the contractor's consent.

1. The client must provide all necessary texts, images, and content before the start of the project to meet the agreed delivery deadlines. These materials may include, but are not limited to, written texts, images, logos, and other media. All materials must be submitted electronically via the Pola Client Platform, email, Dropbox, or Google Drive.
2. Unless otherwise agreed, all materials must be provided in full before the start of the project work. Partial information may be accepted; however, work will only commence once all relevant content has been delivered.
3. Delays in providing the necessary materials will impact the project timeline and completion date. We reserve the right to extend previously agreed deadlines. If the materials are not provided within one (1) month after the project start date, the project may be paused. If the materials are not provided within two (2) months, the project may be canceled, and cancellation fees will apply.
4. If the absence of necessary materials prevents work from progressing, we reserve the right to invoice for the parts of the project that have already been completed.

Changes beyond the agreed scope will be charged additionally. Design, content, or functionality changes that were previously approved by the client may also incur additional costs. After the design approval, up to 2 change requests will be accepted. Major changes will be evaluated based on their impact on scope and timeline and will be billed according to the effort required.

We use modern web technologies for optimal performance on current platforms. However, websites may not display identically in older browsers (e.g., Internet Explorer 8, 9, and 10).

1. After the completion of the contract work, the contractor requests the client to approve it. The client is then required to provide written approval within seven days, provided that it meets the contractual specifications and the approved concept. The approval cannot be refused due to minor defects. If the contract work is made live, meaning it is accessible to every user via the designated domain for the contract work, and the client has had the contract work in operation for more than four weeks in a functioning state, the contract work is considered accepted.
2. After the approval of the contract work, the total payment, minus any previously made advance payments, will be invoiced to the client in the form of a final invoice. The outstanding amount is due within 8 days after receipt of the invoice.

We offer a review of the work on our staging server during development. After approval or if no feedback is received within five (5) business days, the website is considered completed and will be handed over after full payment. Clients acknowledge that CMS platforms like WordPress require regular maintenance. Proactive updates are necessary to ensure security. We offer a maintenance plan for an additional fee.

We reserve the right to display, reproduce, and distribute the designs and project results in our portfolio, as well as in other third-party publications, exhibitions, or competitions.

1. The contractor is entitled to be credited as the author by a note in the source code on every website they create. They may place this copyright notice themselves, and the client is not authorized to remove it without the contractor's consent.
2. The contractor has the right to be named in the imprint of the contract work as follows: 'Concept/Design/Programming: Pola - Digital Agency.' The contractor may place this notice themselves, including a link leading to the contractor's website. The client may not remove the notice. The contractor also has the right to object to the mention in the contract work at any time.

• If specified in the offer, the contract is concluded for an indefinite period and may be terminated in writing with one (1) month's notice, effective at the end of the month.

• Services already rendered must be fully compensated up to the termination date. If payments for the following month have already been made in advance, a proportional refund will be issued for services not provided, unless otherwise agreed.
• Upon contract termination, the client is required to approve any outstanding deliverables within seven (7) days. If no response is received within this period, the services rendered shall be deemed accepted.
• If the contractor had access to digital channels (e.g., website, social media), it is the client’s responsibility to change access credentials after contract termination to prevent unauthorized access.

We reserve the right to display, reproduce, and distribute the designs and project results in our portfolio, as well as in other third-party publications, exhibitions, or competitions.

If stock material (e.g., images, videos, audio files) is used within the scope of the project, the contractor ensures compliance with the respective licensing terms. The usage rights for stock material may vary depending on the license. The client receives only the usage rights required for the respective project but does not acquire exclusive rights to the stock material. If extended or additional licenses are required for certain content, the client bears the applicable licensing costs unless otherwise agreed.

If videos are created as part of the content, the client receives the agreed usage rights for the produced video content but does not receive raw data or open project files unless explicitly agreed otherwise.

• Tickets are processed exclusively through our own platform (Login area of the Pola website).
• Any number of accounts can be created to submit tickets.
• We can also create tickets, but they must be approved by you.
• Tickets are billed based on the time intervals started, as specified in the offer.
• Tickets estimated to take longer than 3 hours to complete will be assessed in advance and must be approved by you.
• Tickets with medium priority will be resolved within 7 days, if possible.
• Tickets with high priority will be resolved within 24 hours, if possible.

• The client can submit support requests exclusively through the provided ticket system.
• Tickets are processed in the order in which they are received unless they are urgent cases, which can be prioritized upon prior agreement.

• The contractor undertakes to review submitted tickets within a reasonable time and to provide the client with appropriate solutions or measures.
• Tickets with medium priority will be resolved within 7 days, if possible.
• Tickets with high priority will be resolved within 24 hours, if possible.
• A ticket is considered completed once the request specified in the ticket has been fully processed and the client does not submit any further inquiries within 7 days.

• The contractor is entitled to independently create tickets for necessary technical measures, optimizations, or problem resolutions.
• Such tickets require the explicit approval of the client before any measures are implemented. Without this approval, no processing will take place.

• The client is obligated to provide all relevant information necessary for the processing of a ticket.
• The client is responsible for reviewing the created tickets and the measures requiring approval in a timely manner.

1. Nach Bearbeitung setzt der Auftragnehmer das Ticket auf den Status „Gelöst“. Mit dieser Statusänderung wird der Auftraggeber über die Fertigstellung informiert.
2. Der Auftraggeber ist verpflichtet, die erbrachte Leistung unverzüglich, spätestens jedoch innerhalb von 7 Kalendertagen nach Mitteilung über den Status „Gelöst“ zu prüfen und etwaige Mängel über das Ticketsystem schriftlich anzuzeigen.
3. Erfolgt innerhalb dieser Frist keine Mängelanzeige, gilt die Leistung als abgenommen.

• The contractor is not liable for delays or damages caused by insufficient or incorrect information provided by the client in the ticket.
• The contractor assumes no liability for any consequences resulting from the rejection or delayed approval of proactive tickets.

• Tickets are billed based on the time intervals started, as specified in the offer. The contractor systematically records and documents the time spent during processing.
• Tickets with an estimated workload of more than 4 hours will be assessed by the contractor before processing or divided into smaller sub-tasks. The client must explicitly approve this estimate or the newly created tickets before processing begins.

• The contractor reserves the right to modify or further develop the ticket system as needed, provided that this does not unreasonably disadvantage the client.
• The client will be informed in a timely manner about any significant changes.

Beide Parteien verpflichten sich, alle im Rahmen der Zusammenarbeit ausgetauschten vertraulichen Informationen streng vertraulich zu behandeln und nicht ohne vorherige schriftliche Zustimmung der anderen Partei an Dritte weiterzugeben. Dies umfasst insbesondere, aber nicht ausschließlich, Geschäftsgeheimnisse, interne Strategien, nicht veröffentlichte Designs, Konzepte und Kundendaten. Diese Verpflichtung bleibt auch nach Beendigung der Zusammenarbeit bestehen.

1. Der Vertrag unterliegt ausschließlich dem Recht der Bundesrepublik Deutschland.
2. Mündliche Nebenabreden bestehen nicht. Änderungen oder Ergänzungen des Vertrages bedürfen zu ihrer Wirksamkeit der Schriftform, auf die auch mündlich nicht verzichtet werden kann.
3. Sollten einzelne Bestimmungen des Vertrages unwirksam sein oder werden, so wird dadurch die Wirksamkeit der übrigen Bestimmungen nicht berührt. Statt der unwirksamen Bestimmung gilt dasjenige, was die Parteien nach dem ursprünglich angestrebten Zweck unter wirtschaftlicher Betrachtungsweise redlicherweise vereinbart hätten. Das Gleiche gilt im Falle des Vorliegens einer Vertragslücke.
4. Erfüllungsort ist Hamburg.

• If interviews, surveys, or workshops are part of the audit, all relevant participants and materials must be provided in a timely manner.
• Cancellations or rescheduling of consultation appointments must be communicated at least 48 hours in advance. In case of a later cancellation, the full fee will be charged.
• The contractor may use anonymized results and methods for internal purposes or portfolio presentations.

The client provides all relevant information, materials, and access required for the analysis. These may include, but are not limited to, existing reports, strategy documents, or market research, access to website analytics, CRM systems, or social media channels, internal company processes, or personas. All information and materials must be submitted electronically via the Pola Client Platform, email, Dropbox, or Google Drive.

Unless otherwise agreed, all information must be provided in full before the project work begins. Partial information may be accepted; however, work will not commence until all relevant content has been delivered.

Delays in providing the necessary information will impact the schedule and project completion date. We reserve the right to extend previously agreed deadlines. If the information is not provided within one (1) month after the project start, the project may be put on hold. If the information is not provided within two (2) months, the project may be canceled, and cancellation fees will apply.

If the lack of necessary information prevents progress on the project, we reserve the right to invoice for the work completed up to that point.

If additional analyses or deeper insights are requested after the project has begun, these can be provided for an additional fee. Reports or recommendations that have already been created cannot be retroactively modified.

The analysis will be provided to the client in the form of a report or presentation. If no objections are raised within seven (7) days after delivery, the service is considered accepted.

The contractor may use anonymized analysis results and methods for internal training, case studies, or portfolio presentations.

• The client provides all relevant materials (existing brand guidelines, logos, design specifications, company values) before the project begins.
• Changes beyond the agreed scope will be charged separately.
• After design approval, up to two (2) revision requests are included. Additional changes will be billed based on effort.
• The contractor may use the created branding in their portfolio.
• The client receives the agreed usage rights but does not receive raw files or open project files unless explicitly agreed otherwise.

3. After acceptance of the contractual work, the total remuneration, minus any advance payments already made, will be invoiced to the client in the form of a final invoice. The outstanding amount must be paid within eight (8) days of receipt of the invoice.

We reserve the right to display, reproduce, and distribute the designs and project results in our portfolio, as well as in third-party publications, exhibitions, or competitions.

The client receives the exclusive usage rights to the created branding elements. The contractor remains the author of the designs and may use the branding in references or case studies. Raw files (e.g., editable design files) will only be provided upon a separate agreement.

• Workshops are collaborative formats that rely on the active participation of attendees.
• The number of participants and the exact schedule will be defined in advance.
• If the client needs to cancel or reschedule the workshop, this must be communicated at least 72 hours in advance; otherwise, the full fee will be charged.
• Workshop materials and presentations are protected by copyright and may not be reused or published without permission.
• Results from the workshops are non-binding recommendations and require separate implementation by either the client or the contractor.

1. The client provides all necessary information to ensure a productive workshop. These may include, but are not limited to, company-related information or existing strategies, participant lists with roles and responsibilities, expected workshop objectives, or specific questions. Missing materials or insufficient preparation may affect the workflow but will not result in a reduction of the fee. All materials must be submitted electronically via the Pola Client Platform, email, Dropbox, or Google Drive.
2. Unless otherwise agreed, all information and materials must be provided in full before the workshop begins. Partial information may be accepted; however, work will not commence until all relevant content has been delivered.
3. Delays in providing the necessary information and materials will impact the schedule and completion date of the project. We reserve the right to extend previously agreed deadlines. If the information and materials are not provided within one (1) month after the project start, the project may be put on hold. If they are not provided within two (2) months, the project may be canceled, and cancellation fees will apply.
4. If the lack of necessary information and materials prevents progress on the project, we reserve the right to invoice for the work completed up to that point.

If additional topics are to be covered or additional participants are to be included, this may require an adjustment of the scope and compensation.

After the workshop, the client will receive a summary of the results. If no objections are raised within seven (7) days, the service is considered accepted.

The contractor may use anonymized workshop results for internal training or portfolio presentations.

Workshop materials, presentations, and created content are protected by copyright and may not be duplicated, shared, or published without permission.
